Thank you for joining our Affiliate Program. These terms and conditions govern your participation in the program as both a merchant ("we" or "merchant") and an affiliate ("you" or "affiliate"). By participating in the program, you agree to comply with and be bound by these terms and conditions. If you do not agree with these terms in their entirety, you are not authorized to register or participate as an affiliate.

1. Approval or Rejection of Registration

We reserve the right to approve or reject any affiliate program registration at our sole and absolute discretion. You will have no legal recourse against us for rejecting your application.

2. Affiliate Links and Coupons

• An affiliate link is automatically generated for you. You can also create links for specific products or collections.
• If a person clicks on multiple affiliate links, the most recent link clicked will be credited.
• Affiliates may or may not be assigned a unique coupon code, with details and usage clarified in the Dashboard.
• If a customer uses both an affiliate link and a coupon code, commissions will not be doubled.
• Affiliates without an assigned branded coupon are not authorized to promote the coupon.
• Affiliates may promote the merchant’s website via online channels (e.g., Facebook, Instagram) or offline media (e.g., classified ads, magazines, newspapers).

3. Commissions and Payments

• Commissions are calculated based on the Commission Structure and are dependent on the order value, excluding additional fees such as taxes and shipping costs.
• To receive commissions, affiliates must specify payment details in the Settings. Payment schedules are provided in the Affiliate Guide.
• Commissions are paid only for successfully completed transactions. Orders resulting in chargebacks or refunds are not eligible for commission.
• The fair use policy grants the merchant the right to review all referral orders.
• Commission status is displayed in the Commission Tab, and paid commissions are listed in the Payment Tab.

4. Marketing Tools

• Affiliates can access promotional materials (e.g., banners, logos, or collection promotions) via the Marketing Tools Tab in the Dashboard.
• Materials can be downloaded or embedded using provided HTML codes for affiliate channels.

5. Network Program

• If the Network Tab is enabled, affiliates can invite others to join as downline affiliates.
• Upline affiliates earn a network commission from the sales generated by their downline affiliates, based on merchant settings.
• To invite others, share your unique network link. Affiliates who sign up through your link will automatically become your downline.

6. Cookie Tracking

• We use cookies to track users who click on your affiliate link. Tracking is possible only if cookies are enabled on the user’s browser.
• If a user disables or clears cookies, we cannot track their activity, and commissions cannot be paid for those transactions.
• The cookie duration is specified in the Affiliate Registration Form. During this period, any purchases made by the referred user will automatically generate commissions for the affiliate.

7. Termination Policy

The merchant reserves the right to terminate an affiliate's participation in the program at its sole discretion for reasons including, but not limited to:

• Violations of the terms and conditions.
• Fraudulent activities.
• Misrepresentation of the brand.
• Non-compliance with promotional guidelines or ethical standards.

If an affiliate is terminated, all pending commissions may be forfeited at the merchant’s discretion. Affiliates may voluntarily leave the program by contacting marketing@artdot.com.

8. Dispute Resolution

If an affiliate disputes a commission, payment, or any other issue, they must notify the merchant in writing within 30 days of the transaction. Disputes will be reviewed and resolved at the merchant’s discretion. The decision made by the merchant will be final and binding.

9. Data Privacy Compliance

The merchant is committed to protecting affiliate and customer data in compliance with applicable data protection regulations, including GDPR and CCPA.

10. Affiliate Rules and Restrictions

Brand Name Usage

• Affiliates are prohibited from using domains that include the ARTDOT brand name.
• The brand name cannot be used in subdomains on the affiliate's own domain.
• Affiliates may not bid on the brand's name, trademarks, variations, or misspellings on platforms like Google Ads, Adcenter, etc.
• These restricted terms must also be set as negative matches in PPC campaigns.

Display and Linking Restrictions

• Affiliates are not allowed to use display URLs containing the brand name.
• Direct linking (including through content networks) is strictly prohibited.
• Affiliates may not use pop-unders, adware, or similar tactics to promote the brand.

PPC Policy

TM Keywords Restrictions:

• Bidding on "brand keywords" combinations is prohibited, except for terms like "brand coupon" or "brand voucher."
• Landing pages for PPC campaigns must be the affiliate’s own website. Direct use of the brand’s official website is not permitted.

Keyword Bidding Rules:

• Affiliates must avoid bidding on restricted keywords. Violations will result in the cancellation of commissions as compensation for non-compliance.

This Privacy Policy of UpPromote about Affiliate Marketing system describes how we may collect and use personal data and the rights granted to merchants, affiliates and customers regarding their respective data.

By joining the Affiliate program, you signify your approval of the terms set out in this Privacy Policy, and other terms and conditions. If you do not agree to this Privacy Policy, you must not use the affiliate marketing system.

We may update this Privacy Policy from time to time in order to reflect, for example, changes to our privacy practices or for other operational, legal, or regulatory reasons. By continuing to our affiliate program after these changes are posted, you agree to the revised policy.

Personal Information Controller

Any personal information provided to or gathered by UpPromote under this Privacy Notice will be stored and controlled by UpPromote (the data controller).

Information collected from Merchants

When merchant uses the app, we are automatically able to access certain types of information from your Shopify account such as email, first name, last name, shop information (shop domain, shop currency, shop address …). We collect this information to provide you with our Services; for example, to confirm your identity, contact you, provide customer support when you contact us, provide you with advertising and marketing activities.

Information collected from Affiliates

When an Affiliate signs up to join a program, we collect some information to inform merchants such as email, personal information, payment details and social network information,...The information would help merchant evaluate affiliate background and potential, along with process specific activities within the app and contact affiliate if needed.

Information collected from Customers when visiting merchant website

In order to track referral order, when customers visit merchant website and make a purchase, UpPromote system will collect information of order such as total order, order items, order ID,....

About Cookies

“Cookies” are data files that are placed on your device or computer and often include an anonymous unique identifier.

Cookies are created when a user's browser loads a particular website. The website sends information to the browser which then creates a text file. Every time the user goes back to the same website, the browser retrieves and sends this file to the website's server.

Information sharing

Ensuring your privacy is important to us. We do not share your personal information with third parties except as described in this privacy policy. We may share your personal information with third-party service providers who we employ to process specific functions; examples include providing email marketing activity, analyzing data and other marketing support,... Third-party service providers have access to personal information only as needed to perform their functions and they must process the personal information in accordance with this Privacy Policy.

We may also disclose your personal information to any third party with your prior consent.

Use of UpPromote app by Children

UpPromote is not intended for children. If you are under 13, you may use the affiliate marketing system only with the supervision of your parent or guardian.

Your Rights

UpPromote understands that you have rights over your personal information, and takes reasonable steps to allow you to access, correct, amend, delete, port, or limit the use of your personal information. If you are using the system and wish to exercise these right, please contact us through marketing@artdot.com. We may require that you provide us with acceptable verification of your identity before providing access to such information.

If you are an affiliate and wish to exercise these rights, please contact the merchant you interacted with directly — we serve as a processor on their behalf, and can only forward your request to them to allow them to respond.
